We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to orders that appear fraudulent, orders for quantities that exceed our operational capacity, or orders containing items that are unavailable.

All prices displayed on our website are in United States Dollars (USD) and are subject to change without prior notice. Prices do not include applicable taxes, delivery fees, or gratuity unless explicitly stated. Taxes will be calculated and displayed at checkout based on the applicable tax rates for your delivery or pickup location.
We make every effort to ensure the accuracy of pricing information displayed on our Site. In the event of a pricing error, we reserve the right to cancel or correct affected orders and notify you of the correction. If you do not wish to proceed with the corrected order, you may request a full refund.
5.2 Payment Methods

Delivery services are subject to availability based on your delivery address, time of order, and operational capacity. We reserve the right to modify delivery zones, hours, and fees at any time. Estimated delivery times are approximate and may be affected by factors outside our control, including traffic conditions, weather, high order volume, and third-party delivery partner availability.
You are responsible for ensuring that the delivery address provided is accurate and accessible. We shall not be liable for delays or non-delivery resulting from inaccurate or incomplete address information provided by you.
Upon delivery, you or an authorized representative must be present to receive the order. If no one is available to receive the order, our delivery personnel may leave the order at the door or return the order, depending on the circumstances. We are not responsible for food safety or quality issues arising from unattended deliveries.
7. Intellectual Property Rights

10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE FEDERAL TRADE COMMISSION ACT AND APPLICABLE STATE CONSUMER PROTECTION STATUTES, IN NO EVENT SHALL DION'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
- COST OF SUBSTITUTE GOODS OR SERVICES;
- PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR ACCESS TO OR USE OF THE SITE OR SERVICES;
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
- ANY OTHER MATTER RELATING TO THE SITE OR SERVICES,
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF DION'S PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING THE FOREGOING, IF DION'S PIZZA IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES, OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DION'S PIZZA IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Dion's Pizza and its officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms of Service;
- Your use of the Site or Services in any manner not expressly authorized by these Terms;
- Your violation of any third-party rights, including intellectual property rights, privacy rights, or proprietary rights;
- Your violation of any applicable federal, state, or local law or regulation;
- Any User Content you submit, post, or transmit through the Site;
- Any fraudulent, negligent, or willful misconduct on your part;
- Your provision of inaccurate, false, or misleading information to us.
We reserve the right, at our expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully with our defense of such claims. You shall not settle any claim without our prior written consent.

13. Governing Law and Jurisdiction
These Terms of Service and any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services shall be governed by and construed in accordance with the laws of the United States and the applicable laws of the state in which Dion's Pizza operates its principal place of business, without regard to conflict of law principles that would require the application of the law of any other jurisdiction.
You agree that any legal action or proceeding between you and Dion's Pizza that is not subject to arbitration pursuant to Section 14 below shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States, and you hereby irrevocably consent to personal jurisdiction and venue in such courts. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.
The Federal Trade Commission Act (15 U.S.C. § 41 et seq.) and all applicable federal consumer protection laws shall apply to the fullest extent permitted by law. Nothing in these Terms shall limit your rights under applicable federal or state consumer protection statutes, including any mandatory rights that cannot be waived by contract.
14. Dispute Resolution and Arbitration
14.1 Informal Resolution
Before initiating any formal dispute resolution process, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services by contacting us informally at [email protected] and providing a written description of the dispute and the relief sought. We will attempt to resolve the dispute within thirty (30) days of receiving your written notice. If the dispute is not resolved within that period, either party may pursue formal dispute resolution as described below.
14.2 Binding Arbitration
Except for claims that qualify for resolution in small claims court, and except as otherwise provided herein, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved through informal negotiation shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, as amended from time to time, which are incorporated herein by reference.
The arbitration shall be conducted in English and shall take place in the United States at a mutually agreed location or, if no agreement is reached, via telephone, video conference, or written submission. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
The costs of arbitration, including the arbitrator's fees, shall be allocated in accordance with the AAA Consumer Arbitration Rules. Each party shall bear its own attorneys' fees unless the arbitrator determines that the applicable law requires otherwise or that a party's claim or defense was frivolous.
14.3 Class Action Waiver
YOU AND DION'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator shall not have authority to conduct a class arbitration or a private attorney general action. If this class action waiver is found to be unenforceable for any reason, the entire arbitration agreement in this Section shall be null and void, and any dispute shall be resolved in court in accordance with Section 13.
14.4 Small Claims Exception
Notwithstanding the arbitration agreement above, either party may bring an individual action in a small claims court of competent jurisdiction for disputes that qualify under applicable small claims court rules, provided that the action remains in small claims court and is not transferred, removed, or appealed to a court of general jurisdiction.
15. Term and Termination
These Terms of Service are effective as of the date you first access or use our Site or Services and shall remain in full force and effect until terminated as provided herein.
We reserve the right, in our sole discretion, to suspend or terminate your access to the Site and Services, with or without notice and without liability to you, for any reason, including but not limited to your violation of these Terms. Upon termination:
- Your right to access and use the Site and Services immediately terminates;
- Any pending orders may be cancelled at our discretion, and applicable refunds will be processed;
- Any loyalty points, rewards, or promotional credits associated with your account may be forfeited;
- All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

In the event of a Force Majeure Event, we will make reasonable efforts to notify you of the situation and resume normal operations as soon as reasonably practicable. Orders affected by Force Majeure Events may be delayed, modified, or cancelled, and we will process appropriate refunds for cancelled orders in a timely manner.

By using our Services and providing your contact information, you consent to receiving electronic communications from us, including order confirmations, receipts, updates regarding your account or orders, and other transactional communications. These electronic communications satisfy any legal requirement that communications be in writing.
You agree that all notices, agreements, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. This does not affect any rights you may have under applicable law that cannot be waived by agreement, including any rights you may have to receive paper copies of certain disclosures.
20. Severability
If any provision of these Terms of Service is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, unenforceable, or in conflict with any applicable law, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or, if such modification is not possible, shall be severed from these Terms. No waiver by Dion's Pizza of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to insist upon strict performance of any provision of these Terms or to exercise any right or remedy shall not constitute a waiver of that right or remedy or preclude us from exercising such right or remedy at a later time.
22. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or agreements posted on the Site or communicated to you in connection with the Services, constitute the entire agreement between you and Dion's Pizza with respect to the subject matter herein and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, between you and Dion's Pizza.
No amendment to or modification of these Terms shall be effective unless in writing and signed by an authorized representative of Dion's Pizza, except for changes made by Dion's Pizza pursuant to Section 16 of these Terms.
